Terms of Service
These Terms of Service (“Terms”) govern your access to and use of BreederServe (the “Site”), operated by Shrock Business Services, LLC — DBA: BreederServe (“BreederServe,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.
1. About BreederServe
BreederServe provides online marketing services for a select group of independent, third-party breeders. We create and maintain websites and listings that help connect available puppies with prospective families. BreederServe is a marketing service only. We are not a party to any sale, purchase, or other transaction between a breeder and a buyer, and we do not own, sell, broker, ship, or guarantee any animal.
2. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable law or regulation;
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
- Interfere with or disrupt the integrity or performance of the Site;
- Introduce viruses, malware, or other harmful code;
- Collect or harvest information from the Site by automated means without our written consent.
3. Third-Party Breeders and Links
The Site contains information about, and links to, websites operated by independent breeders and other third parties. Any dealings you have with a breeder or other third party — including inquiries, payments, transportation, health guarantees, and delivery of any animal — are solely between you and that third party. We do not endorse, control, or assume responsibility for third parties, their websites, their content, or their products, services, or representations. You should perform your own due diligence before entering into any transaction.
4. Intellectual Property
The Site and its contents — including its design, layout, text, graphics, logos, and other materials — are owned by or licensed to BreederServe and are protected by intellectual-property laws. You may view and use the Site for your personal, non-commercial use. You may not copy, reproduce, republish, distribute, or create derivative works from any part of the Site without our prior written consent, except as permitted by these Terms or applicable law. Trademarks appearing on the Site that are not ours are the property of their respective owners.
5. No Warranties
The Site and all information and materials on it are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on the Site is accurate, complete, current, or reliable. Any reliance you place on such information is strictly at your own risk.
6. Limitation of Liability
To the fullest extent permitted by law, BreederServe and its owners, officers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Site or any third-party dealings, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.
7. Indemnification
You agree to indemnify and hold harmless BreederServe and its owners, officers, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
8. Changes to the Site and Terms
We may modify or discontinue the Site, or update these Terms, at any time without notice. When we update these Terms, we will revise the “Effective date” above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
9. Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Kentucky and the United States of America, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Kentucky for the resolution of any such disputes.
